ERP & EnterpriseUAE E-Invoicing If You Are Under AED 50 Million
Revenue under AED 50 million does not exempt a UAE business from e-invoicing. Phase 2 still requires an Accredited Service Provider by 31 March 2027 and go-live by 1 July 2027. B2C is deferred, not permanently exempt.
Most October coverage is about the 30 October 2026 deadline. That date is Phase 1 only: businesses with annual revenue of AED 50 million or more must appoint an Accredited Service Provider by then, and issue through the system from 1 January 2027. If you are under that line, you are not exempt. You are on Phase 2.
Ministerial Decision No. 244 of 2025, as amended, sets the Phase 2 appointment date at 31 March 2027 and full implementation at 1 July 2027. Government entities in scope appoint by 31 March 2027 and implement from 1 October 2027. The July-to-October extension in Ministerial Decision No. 66 of 2026 moved the Phase 1 appointment date only. It did not move January go-live, and it did not create a small-business exemption.
Who is actually in Phase 2
Use the revenue test the Ministry is using, not the size of the finance team. A trading company, clinic group, restaurant group, or distributor under AED 50 million in annual revenue is the typical Phase 2 profile. VAT registration is not the test. The programme covers B2B and B2G transactions in the UAE unless a specific exemption applies.
B2C is the exception people misread. Ministerial Decision No. 244, Article 5(2), defers B2C until the Minister decides otherwise. That is a deferral, not a permanent exemption. A retailer that also invoices other businesses still has a B2B problem. A pure consumer till does not get to ignore master data forever.
Why March 2027 is not a reason to wait
Phase 1 companies were given a later appointment date and still have only about two months between appointment and January go-live. Phase 2 has a similar gap: appoint by 31 March 2027, issue from 1 July 2027. Accreditation, contracting, EmaraTax procedures, and ERP mapping do not compress because revenue is lower.
The Ministry of Finance Electronic Invoicing Guidelines V1.1, dated 1 June 2026, still print 31 July 2026 as the Phase 1 appointment date. That date was superseded on 14 May 2026 by Ministerial Decision No. 66 of 2026. The decision is binding. The PDF is not. The same habit — reading an old guideline as the rule — will show up in Phase 2 planning if finance teams bookmark a blog from mid-2026 and stop.
Penalties sit in Cabinet Decision No. 106 of 2025. Failure to implement the system or appoint an approved provider on time is AED 5,000 per month, or part of a month. That figure is the same rule Phase 1 firms are citing now. It is not a large-company surcharge.
What to fix in the software before you pick an ASP
The ASP transmits. Your ERP or billing tool has to produce a clean tax invoice. The failures we see in readiness work are data, not logos.
- Buyer TRN and legal name on B2B invoices, not the trade name on WhatsApp.
- One item master. A clinic, a distributor, and a restaurant group often have a POS name, an ERP name, and a free-text WhatsApp name for the same SKU.
- VAT category on the line, including zero-rated and out-of-scope, not a single 5% default.
- Credit notes that reference the original invoice. A PDF credit note with no link will not survive a structured format.
- A branch and a legal entity that are not the same record. Multi-branch groups under AED 50 million still issue from one TRN.
Ministerial Decision No. 56 of 2026 allows providers to deliver with third parties, including a local firm working with an international provider. That widens the shortlist. It does not fix a price list stored in a spreadsheet.
A practical sequence for Phase 2
- Confirm the revenue band and whether any B2B or B2G invoices exist. If they do, treat 31 March 2027 as the appointment ceiling.
- Export the last quarter of invoices and count missing TRNs, free-text lines, and credit notes with no parent.
- Map those fields to whatever billing system you will still be on in July 2027. Do not plan a full ERP replacement as the compliance project unless the current system cannot hold the fields.
- Shortlist ASPs in Q1 2027, not in the last week of March. Contracting and EmaraTax onboarding are part of the deadline, not a follow-up.
Phase 1 is the public countdown. Phase 2 is the larger set of UAE operating companies. The software work is the same shape, with a later date. If the invoice file cannot leave the POS or ERP in a structured form, the appointment is a contract without a feed.
